AMUZN App Payment Terms

The following terms (these “Payment Terms”) govern payments you make or receive through AMUZN (the “App”), operated by Nascent Ventures Ltd, 71-75 Shelton Street, London WC2H 9JQ (“we” “us”).
Payments are processed by Stripe (Stripe Payments Europe, Ltd., C/O A & L Goodbody, Ifsc, North Wall Quay, Dublin, D01 H104, Ireland; Stripe Payments UK, Ltd, 9th Floor, 107 Cheapside, London, EC2V 6DN; Stripe, Inc., 354 Oyster Point Blvd, South San Francisco, California, United States, 94080) from the UK and outside, are referred herein as “PSP” or “Payment Provider”.
Please read these Payment Terms carefully before making or receiving payments through the App. By making or receiving payments through the App, you accept and agree, on behalf of yourself or on behalf of your employer or any other entity (if applicable), to be bound and abide by these Payment Terms. These Payment Terms are supplemental to AMUZN’s Terms of Service, found here (the “Terms of Service”), which Term of Services are expressly incorporated into these Payment Terms.
Key Terms
Capitalised terms used but not defined herein shall have the respective meanings given to them in the Terms of Service.
AMUZN Balance means the balance of funds in your Account.
Seller’s Receiving Payments
General
- Each Creative Service that is Accepted by a Buyer credits your Account with an amount equal to 100% of the Service Cost (refer to “Completed” Order status). See the ’Ordering Process’ Section 4.3 in the Terms of Service for a description of the full Order lifecycle.
- Each Order Acceptance credits Seller’s account with an advance payment equal to 10% of the Service Cost and another 10% of the Service Cost once the Order is Delivered (refer to “Accepted” and “Delivered” Order status, respectively). To withdraw funds from their Account Sellers must have an Account with AMUZN's PSP. All funds eligible for Withdrawal will be held on your behalf at an Account with AMUZN’s PSP. All payment services, including withdrawal services, will be provided by AMUZN’s PSP.
- Each Accepted Order delivery credits Seller’s Account with the remaining 80% of the Service Cost (refer to “Completed” Order status).
- Sellers have 48 hours to accept or decline the Buyer’s Order request.
- An Order can only be cancelled after an Order Agreement following the mutual agreement (vis App) of both the Buyer and Seller, following either the Buyer or Seller submitting an Order cancellation request via the App (refer to “Cancelled” and “Cancellation Request” Order status, respectively). A cancellation does not guarantee a refund if the Order has been accepted by the Seller and is already in progress. - Sellers are responsible for paying any direct or indirect taxes, including any GST, VAT or income tax, which may apply to them depending on residency, location or otherwise, under provisions of their jurisdiction. Sellers represent and warrant that they comply, and will comply at all times, with their obligations under income tax provisions in their jurisdiction.
- Appointment as Limited Payment Collection Agent: Seller hereby appoints AMUZN as Seller’s limited authorised payment collection agent solely for the purpose of accepting payments (via the PSP) from Buyer, and remitting those payments to Seller. Seller agrees that payment from Buyer to AMUZN shall be considered the same as made directly to Seller. Buyer’s payment obligation to Seller will be satisfied upon receipt of payment by AMUZN (or its PSP as applicable), and AMUZN (via its PSP) is responsible for remitting the funds to the Seller in the manner described in these Payment Terms. In the event that AMUZN PSP does not remit any such amounts to Seller, the Seller will have recourse only against AMUZN and not the Buyer directly.
- AMUZN partners with the PSP for purposes of collecting payments from Buyers, transferring such payments from Buyers to Sellers, and holding funds in connection with AMUZN Balances. All payments services in connection with the withdrawal of funds on the AMUZN platform are performed by AMUZN’s PSP.
- Sellers who receive payments from Buyers on AMUZN must agree to our PSP Stripe Connected Account Agreement, which includes the Stripe Services Agreement. Sellers should never agree to receive a payment, or perform services in expectation thereof, before they have confirmed that they can comply with such Stripe agreements. As a Seller, by agreeing to these terms or continuing to operate as a Seller on the App, you agree to be bound by the Stripe Connected Account Agreement and Stripe Services Agreement, as those agreements may be modified by Stripe from time to time.
